Welcome to Rooted (“Rooted,” “Company,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, platform, applications, services, features, content, and related offerings (collectively, the “Platform”).
By accessing, registering for, or using the Platform in any manner, you (“you,” “User,” “Vendor,” “Customer,” “Participant”) agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
1. Acceptance of Terms
1.1 By using the Platform, you affirm that you are at least 18 years of age, have the legal capacity to enter into these Terms, and will comply fully with all applicable laws and regulations.
1.2 If you are using the Platform on behalf of a business or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms.
1.3 Rooted reserves the right, at its sole discretion, to amend, modify, or update these Terms at any time. Updated Terms will be posted on the Platform, and continued use constitutes acceptance of such revisions.
2. Nature of the Platform
2.1 Rooted is a marketplace and community platform designed to connect independent vendors with customers. Rooted does not own, create, manufacture, control, or guarantee any products or services offered by vendors.
2.2 Vendors are independent third parties. No agency, partnership, joint venture, employment, or fiduciary relationship is intended or created by these Terms between Rooted and any vendor.
2.3 Rooted does not warrant, endorse, or guarantee the quality, safety, legality, accuracy, or suitability of any products, services, or content offered by vendors. All risks lie solely with the vendor and/or customer.
3. User Responsibilities
3.1 Users agree to provide accurate, complete, and up-to-date information when registering or interacting with the Platform.
3.2 Users shall not:
- Misrepresent their identity, affiliation, or authority.
- Upload or distribute unlawful, fraudulent, defamatory, infringing, obscene, or harmful content.
- Circumvent fees or conduct off-platform transactions intended to avoid obligations.
- Attempt to disrupt, hack, overload, or exploit the Platform.
- Violate any applicable law, regulation, or third-party rights.
3.3 Rooted reserves the right to suspend, restrict, or terminate access to any User who violates these Terms.
4. Vendor Responsibilities
4.1 Vendors are solely responsible for their listings, pricing, descriptions, warranties, shipping, returns, refunds, exchanges, and compliance with all applicable laws.
4.2 Vendors must ensure that products and services are safe, lawful, authentic, and accurately described.
4.3 Vendors grant Rooted a non-exclusive, royalty-free, worldwide license to display, distribute, and promote their content for purposes of operating the Platform.
4.4 Vendors agree to indemnify and hold Rooted harmless from claims arising out of their products, services, conduct, or representations.
5. Transactions and Payments
5.1 Payments may be processed by third-party providers (such as Stripe, PayPal, or others). By transacting, you agree to comply with the separate terms of such providers.
5.2 Rooted does not guarantee payment clearance, refund processing, chargeback resolution, or vendor solvency.
5.3 Fees, commissions, or charges applicable to vendors or users are subject to change at Rooted’s sole discretion.
6. Refunds, Returns, and Exchanges
6.1 Refunds, returns, and exchanges are at the sole discretion of each vendor. Rooted is not responsible for and will not intervene in disputes regarding refunds, returns, or exchanges.
6.2 Customers acknowledge and agree that any dispute concerning a purchase must be resolved directly with the vendor, and Rooted bears no liability whatsoever for such disputes.
7. Intellectual Property
7.1 Rooted owns or controls all rights, title, and interest in the Platform, including trademarks, logos, software, content, graphics, text, and design. Unauthorized use is strictly prohibited.
7.2 Vendors retain ownership of their intellectual property but grant Rooted the right to use their content for promotional and operational purposes.
7.3 Users may not copy, reproduce, distribute, modify, or create derivative works from the Platform or its content without express written permission.
8. Disclaimers
8.1 The Platform is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied.
8.2 Rooted disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.
8.3 Rooted does not guarantee that the Platform will be uninterrupted, secure, error-free, or free of harmful components.
9. Limitation of Liability
9.1 To the maximum extent permitted by law, Rooted shall not be liable for any direct, indirect, incidental, consequential, punitive, exemplary, or special damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of the Platform.
9.2 In no event shall Rooted’s total liability to any User exceed the greater of: (a) one hundred U.S. dollars ($100.00) or (b) the total amount paid by the User to Rooted in the six (6) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Rooted, its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including legal fees) arising from:
(a) your use of the Platform;
(b) your purchase, sale, or listing of products/services;
(c) your violation of these Terms or applicable law;
(d) your infringement of any third-party rights.
11. Termination
11.1 Rooted reserves the right to suspend, restrict, or terminate access to the Platform at any time, without notice, for any reason including violation of these Terms.
11.2 Upon termination, all rights and licenses granted under these Terms shall immediately cease.
12. Governing Law and Dispute Resolution
12.1 These Terms shall be governed exclusively by the laws of the State of California, without regard to conflict-of-law provisions.
12.2 Any dispute, claim, or controversy shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”), conducted in Los Angeles County, California.
12.3 Class actions, consolidated actions, and jury trials are expressly waived. Users agree to arbitrate claims on an individual basis only.
13. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
14. Entire Agreement
These Terms constitute the entire agreement between you and Rooted regarding the Platform and supersede all prior or contemporaneous understandings, agreements, or representations.
15. Modifications
Rooted reserves the right to update or modify these Terms at any time in its sole discretion. Continued use of the Platform after such modifications constitutes acceptance of the revised Terms.
BY ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE LEGALLY BOUND BY THESE TERMS.
